1. Operator and pre-launch completion

These Terms apply to SubWard, a web subscription-tracking service at subward.app, operated by Arven Digital.

Pre-launch legal notice: the operator's full legal identity, registration information, address, applicable governing law, dispute forum, consumer notices, and contact details must be completed and confirmed by the operator and legal counsel before launch. No particular registered entity, location, governing law, or court is represented by this draft.

2. Service and encryption scope

SubWard helps users record recurring expenses, renewal dates, and related information through a web browser. Supported fields entered on a client-encrypted profile may be encrypted by the client before transmission.

Email/API imports, pending-review data, reminders, metadata, non-encrypted billing fields, and unencrypted profiles remain server-readable and processed until any explicit supported client-encryption step. You are responsible for retaining any recovery credentials for encrypted data.

3. Accounts and acceptable use

You must provide accurate information, protect your credentials, and be legally able to enter these Terms. Do not use the service unlawfully, impersonate others, send spam, probe or disrupt systems, bypass limits, scrape without permission, or infringe third-party rights. We may limit or suspend access to protect users and the service.

4. Plans and billing

SubWard may offer Free, Premium, and Family & Team plans. Current features, limits, prices, currencies, taxes, and monthly or yearly billing options are displayed at checkout and control over conflicting marketing copy.

Paid plans recur monthly or yearly according to the billing interval selected at checkout and automatically renew for the same interval unless cancelled before renewal. A yearly plan is charged for the full yearly billing period at each renewal. Lemon Squeezy acts as merchant of record and handles payment collection, applicable taxes, invoices, and its customer portal. By purchasing, you also agree to the checkout terms presented by Lemon Squeezy.

Pricing or plan changes will be communicated as required by applicable law. We do not store payment-card details.

5. Cancellation, refunds, and withdrawal

You may cancel through the available billing portal. Unless checkout terms or applicable law provide otherwise, cancellation stops future renewals and access continues through the paid billing period.

Refund requests and any statutory withdrawal rights are handled through the Lemon Squeezy merchant-of-record flow and applicable law. Eligibility, timing, exceptions, and the operator's support process remain pending legal confirmation before launch; these Terms do not promise a separate guarantee or declare all sales final.

6. User data and imports

You retain rights in data you provide and authorize Arven Digital and its processors to host and process it as needed to provide the service. Only forward or import material you are entitled to process. Review imported records for accuracy before approval.

7. Availability and changes

The service is provided on an “as available” basis. Features may change, and maintenance or outages may occur. Material changes to paid service or these Terms will be communicated as required by applicable law.

8. Warranties and liability

To the extent permitted by applicable law, the service is provided without implied warranties and Arven Digital is not responsible for indirect or consequential loss. Nothing in these Terms excludes rights, warranties, or liability that cannot legally be excluded. The operator and legal counsel must finalize jurisdiction-appropriate limitations before launch.

9. Termination and deletion

You may request account deletion through available account controls. Data removal is subject to technical backup cycles, fraud and security needs, merchant-of-record records, and legal retention obligations; no fixed completion deadline is promised until the operator verifies the deletion process. We may suspend or terminate accounts for material breach, non-payment, security risk, or legal requirement.

10. Disputes and contact

Mandatory consumer protections and legally required forums remain unaffected. The operator and legal counsel must select and disclose any governing-law and dispute-resolution terms before launch. Until then, this draft makes no specific court or jurisdiction choice.
